Section of the Travel Procedure Agency Contract

Article 1 - Scope of Application
  1. Travel Procedure Agency Contract concluded between JR Tokai Tours, Inc. and travelers shall be in accordance with these General Conditions. Matters not stipulated in these General Conditions shall be in accordance with laws and ordinances and generally established customs.
  2. Any special contract concluded by JR Tokai Tours, Inc. without violating laws and ordinances and without causing disadvantage to travelers shall take precedence notwithstanding the provisions of the preceding paragraph.
Article 2 - Travelers Executing a Travel Procedure Agency Contract
  1. Travelers executing a Travel Procedure Agency Contract refers to travelers that have executed an Agent-organized Tours Contract, Customized Tours Contract or Arranged Tour Contract with JR Tokai Tours, Inc., or travelers for which JR Tokai Tours, Inc. has acted as an agent and executed Contracts related to Agent-organized Tours for other travel agencies with which JR Tokai Tours, Inc. has been entrusted.
Article 3 - Definition of Travel Procedure Agency Contract
  1. In this clause, "Travel Procedure Agency Contract" refers to, a Contract by which JR Tokai Tours, Inc. promises to engage in the following duties (hereinafter referred to as, "agent duties") on behalf of the traveler in exchange for a travel duty handling fee (hereinafter referred to as, "travel procedures travel procedure agency fee") for acting as an agent for travel procedures.
    1. I. Procedures related to the acquisition of passports, visas, re-entry permits and other certificates.
    2. II. Creation of immigration procedure documents
    3. III. Other related duties related to the preceding clauses.
Article 4 - Contract Execution
  1. Travelers wishing to execute a Travel Procedure Agency Contract with JR Tokai Tours, Inc. must fill out the application form specified by JR Tokai Tours, Inc. and submit it to JR Tokai Tours, Inc.
  2. The Travel Procedure Agency Contract will be deemed to have been executed when execution of the contract has been approved and the application mentioned in the preceding paragraph has been received by JR Tokai Tours, Inc.
  3. Regardless of the stipulations of the preceding two clauses, JR Tokai Tours, Inc. may receive application for the Travel Procedure Agency Contract via telephone, posting, facsimile, internet or other means of communication without receiving submission of application. In this instance, the Travel Procedure Agency Contract will be deemed to have been executed when JR Tokai Tours, Inc. approves execution of the Contract.
  4. JR Tokai Tours, Inc. may refuse concluding a Travel Procedure Agency Contract if:
    1. I. The traveler is found to be a member, an associate member or related party of an organized crime group, a company related to an organized crime group, a corporate racketeer or another antisocial force.
    2. II. The traveler makes violent or illicit requests towards JR Tokai Tours, Inc., or engages in threatening speech or behavior in relation to transactions, acts employing violence or equivalent acts.
    3. III. The traveler engages in acts that damage JR Tokai Tours, Inc.'s credit or hinder JR Tokai Tours, Inc.'s business, or in equivalent acts by spreading false information or employing fraudulent means or force.
    4. IV. JR Tokai Tours, Inc. has other business reasons.
  5. Immediately after execution of the Travel Procedure Agency Contract, JR Tokai Tours, Inc. shall issue to the traveler documents stating the duties for which JR Tokai Tours, Inc. is to act as an agent in accordance with the aforementioned Travel Procedure Agency Contract (hereinafter referred to as, "entrusted duties"), the amount of travel procedure agencies, methods of collecting said fees, JR Tokai Tours, Inc.'s liability, and other required information.
  6. If JR Tokai Tours, Inc. obtains approval in advance from the traveler and provides the items to be stated on the aforementioned document by means that utilize information communication technology (hereinafter referred to as, "stated items" in this clause) in addition to issuance of the document mentioned in the preceding paragraph, it shall be confirmed that the stated items have been recorded in a file located in the communications device used by the traveler.
  7. In the case mentioned in the preceding paragraph, if a file for recording the stated items has not been prepared in the communications device used by the traveler the stated items shall be recorded in a file prepared in a communications device used by JR Tokai Tours, Inc. (when used exclusively for the aforementioned traveler) and be made available for viewing by the traveler.
Article 5 - Confidentiality Obligation
  1. JR Tokai Tours, Inc. shall not leak any information that it has learned through the course of engaging in the entrusted duties.
Article 6 - Traveler Obligations
  1. The traveler must pay the Travel Procedure Agency fee by the deadline stipulated by JR Tokai Tours, Inc.
  2. The traveler must submit to JR Tokai Tours, Inc. documents, materials, and any other items (hereinafter referred to as, "travel procedure documents, etc.") necessary to engage in the entrusted duties by the deadline stipulated by JR Tokai Tours, Inc.
  3. If JR Tokai Tours, Inc. must pay charges, visa fees, consignment fees or any other fees (hereinafter referred to as, "visa fees, etc.") to government and public offices in Japan, foreign embassies located in Japan, or any other parties in the course of performing the entrusted duties, the traveler must pay the aforementioned visa fees, etc. to JR Tokai Tours, Inc. by the deadline stipulated by JR Tokai Tours, Inc..
  4. Postal expenses, transportation expenses and any other expenses generated during the course of performing the entrusted duties shall be paid to JR Tokai Tours, Inc. by the traveler by the deadline stipulated by JR Tokai Tours, Inc.
Article 7 - Contract Cancellation
  1. The traveler may cancel the entirety or a portion of, the Travel Procedure Agency Contract at any time.
  2. The Traveler Procedure Agency Contract may be canceled in any of the following cases.
    1. I. If the traveler does not submit travel procedure documents, etc. by the specified deadline.
    2. II. If JR Tokai Tours, Inc. deems the travel procedure documents, etc. submitted by the traveler to be incomplete.
    3. III. If the traveler fails to pay Travel Procedure Agency fee, visa fees, etc. or the expenses mentioned in paragraph 4 of preceding article by the specified deadline.
    4. IV. The traveler is found to fall under one of items I. to III. of Article 4, paragraph 4.
    5. V. If JR Tokai Tours, Inc. deems that there is an extremely large concern that the traveler will not be able to obtain passports, visas or reentry permits (hereinafter referred to as, "passports, etc.") due to reasons for which JR Tokai Tours, Inc. is not responsible in the case that JR Tokai Tours, Inc. has been entrusted with the duties stipulated in paragraph 1 of article 3.
  3. If the Travel Procedure Agency Contract is canceled based on the stipulations of the preceding two paragraphs, in addition to bearing the cost of visa fees, etc. and the expenses stated in paragraph 4 of preceding article that have already been paid by JR Tokai Tours, Inc., the traveler must pay to JR Tokai Tours, Inc. the travel procedure agency fee related to the entrusted duties already performed by JR Tokai Tours, Inc.
Article 8 - JR Tokai Tours, Inc. liability
  1. If JR Tokai Tours, Inc. causes damage to the traveler as a result of malice or negligence in the pursuit of the Travel Procedure Agency Contract, JR Tokai Tours, Inc. shall be liable for providing compensation for said damages. However, this shall only apply if JR Tokai Tours, Inc. is notified of said damages within six months from the day after damages were caused.
  2. JR Tokai Tours, Inc. does not guarantee that the traveler will actually be able to obtain passports, etc., or be granted permission to enter and leave related countries due to the existence of a Travel Procedure Agency Contract. Therefore, JR Tokai Tours, Inc. shall not be liable if the traveler is not able to obtain passports, etc. and is not granted permission to enter or leave related countries due to reasons for which JR Tokai Tours, Inc. is not responsible.
